EV bus and truck maker The Lion Electric to take SPAC route to public markets - TechCrunch

Canadian electric truck and bus manufacturer The Lion Electric Company said Monday it plans to become a publicly traded company via a merger with special purpose acquisition company Northern Genesis Acquisition Corp.

The combined company, which will be listed on the New York Stock Exchange, will have a valuation of $1.9 billion. The companies raised $200 million in private investment in public equity, or PIPE, and hold about $320 million in cash proceeds.

The deal is the latest example of an electric automaker opting to go public via a SPAC merger in an aim to access the level of capital needed to become a high-volume vehicle manufacturer. Arrival, Canoo, Fisker, Lordstown Motors and Nikola Corp. have all announced SPAC mergers in 2020.

In Lion’s case, the combined net cash will be used to fund the company’s growth, notably the planned construction of a U.S.-based factory and to further develop its advanced battery systems. Lion is evaluating more than 10 potential brownfield plant sites in nine states, including California, Illinois, Indiana, Michigan, New York, Ohio, Oregon, Pennsylvania, Washington and Wisconsin. The company told TechCrunch it plans to pick a site and complete its industrialization plan by the end of the year. Production at this yet-to-be named factory is expected to start in the beginning of 2023.

Lion is already producing all-electric medium and heavy-duty urban trucks and buses at a 2,500-vehicle-per-year manufacturing facility. Some 300 vehicles are on the road today and the company has plans to deliver 650 trucks and buses in 2021. It even landed a contract with Amazon to supply the e-commerce giant with 10 electric trucks for its “middle mile” operations.

Completion of the proposed transaction is expected to occur in the first quarter of 2021. Lion is expected to be listed on the NYSE under the new ticker symbol “LEV.” Lion’s CEO and founder Marc Bedard will continue in his role. The combined company will have a board of directors consisting of nine directors, including Bedard, Pierre Larochelle from Power Sustainable as chairman, and five other existing Lion board members, as well as Ian Robertson and Chris Jarratt, who are co-founders of Algonquin Power & Utilities Corp.

Lawmakers Want Data to Decide the Future of America's Electric Vehicle Charging Infrastructure - Nextgov

Bipartisan legislation recently introduced in the House would form an Energy Secretary-led, $10 million grant program to support local governments, electric utility companies, universities and others in pinpointing the most sensible locations for future electric vehicle charging stations.

Electric vehicles, or EVs, are emerging as an increasingly trusted, eco-friendly driving alternative to gas-powered cars—but their widespread adoption is limited by users’ accessibility to battery-charging stations, which exist mostly along major highways or in urban areas.   

The Electric Vehicle Mobility Area Planning, or EV MAP, Act intends to help change that by prompting new data insights and analyses on current and coming EV use. 

Reps. Tom O’Halleran, D-Ariz., and Michael Burgess, R-Texas, co-sponsored the bill. It was referred to the House Committee on Energy and Commerce the day it was put forward.

“The EV MAP Act addresses one of the most pressing issues EV owners have—range anxiety,” Burgess said in a statement, referring to drivers’ fear that their vehicles will run out of power before reaching charging points or their ultimate destinations. It’s considered one crucial barrier to the ubiquitous use of next-gen vehicles. 

O’Halleran added that as America’s transportation sector evolves, “we must ensure that long-overlooked areas and rural districts...are not left behind.”

If passed, the bill would provide individual eligible entities—or teams of them—with financial backing to help inform and steer future investments for EV charging stations and determine where the power-up portals will be most essential to meet present and forthcoming needs of the driver base. 

Using data on travel patterns and regional commutes, those selected would assess locations of EV owners in their specific areas right now and during the half-decade following receipt of the grant, and produce a map “identifying concentrations of electric vehicle charging stations to meet the needs of current and future of electric vehicle drivers” in the area. They’d also estimate electricity usage and how commuting patterns will evolve in the coming years. 

Those involved would further map out where charging stations will be needed to advance overall adoption, and develop a tool that any city, county or local agency could use “to compare and evaluate different adoption and use scenarios for electric vehicles and electric vehicle charging stations.”

Several energy- and climate-focused organizations, including the Environmental Defense Fund and Edison Electric Institute and others, voiced support for the legislation.

“The EV MAP Act would support a data-driven analysis of where electric vehicle charging stations should be located based on where they will be most needed and most useful,” Citizens for Responsible Energy Solutions Executive Director Heather Reams said. “This will empower investors and private sector companies to confidently build out this infrastructure in an informed manner and open up more transportation choices for all Americans without adding to the taxpayer’s burden.”

Israel killed military nuclear scientist using ‘electronic devices,’ says Iranian official - Boston Herald

TEHRAN, Iran — A top Iranian security official on Monday accused Israel of using “electronic devices” to remotely kill a scientist who founded the Islamic Republic’s military nuclear program in the 2000s.

Ali Shamkhani, the secretary of the country’s Supreme National Security Council, made the comment at the funeral for Mohsen Fakhrizadeh, where Iran’s defense minister separately vowed to continue the man’s work “with more speed and more power.”

Israel, long suspected of killing Iranian nuclear scientists over the last decade, has repeatedly declined to comment on the attack.

Fakhrizadeh headed Iran’s so-called AMAD program, which Israel and the West have alleged was a military operation looking at the feasibility of building a nuclear weapon. The International Atomic Energy Agency says that “structured program” ended in 2003. U.S. intelligence agencies concurred with that assessment in a 2007 report.

Israel insists Iran still maintains the ambition of developing nuclear weapons, pointing to Tehran’s ballistic missile program and research into other technologies. Iran long has maintained that its nuclear program is for peaceful purposes.

Shamkhani’s remarks drastically change the story of Fakhrizadeh’s killing, which took place Friday. Authorities initially said a truck exploded and then gunmen opened fire on the scientist, killing him and a bodyguard. State TV even interviewed a man the night of the attack who described seeing gunmen open fire.

State TV’s English-language broadcaster Press TV reported earlier Monday that a weapon recovered from the scene of the attack bore “the logo and specifications of the Israeli military industry.” State TV’s Arabic-language channel, Al-Alam, claimed the weapons used were “controlled by satellite,” a claim also made Sunday by the semiofficial Fars news agency.

None of the outlets immediately offered evidence supporting their claims, which also give authorities a way to explain why no one was reportedly arrested at the scene.

“Unfortunately, the operation was a very complicated operation and was carried out by using electronic devices,” Shamkhani told state TV. “No individual was present at the site.”

Satellite control of weapons is nothing new. Armed, long-range drones, for instance, rely on satellite connections to be controlled by their remote pilots. Remote-controlled gun turrets also exist, but typically see their operator connected by a hard line to cut down on the delay in commands being relayed. Israel uses such hard-wired systems along the border with the Hamas-controlled Gaza Strip.

Meanwhile, Israeli Foreign Ministry Director-General Alon Ushpiz has sent a cable to all Israeli diplomatic delegations around the globe urging diplomats to maintain “the highest level of readiness and awareness of any irregular activity” around missions and Jewish community centers.

The best of intentions related to American military readiness and reliability have created a Catch-22: The Pentagon’s reliance on a steady, dependable product has prevented it from reaping the benefits of innovation. As a result, America is failing to turn commercial know-how into technological superiority in the armed forces.

Specifically, the U.S. defense community’s continuing reliance on lead-based electronics puts the nation’s technological superiority and military readiness at risk.

Lead alloys have traditionally been used to attach electronic components to printed circuit boards. Lead alloys melt at low temperatures, making them easy to use without damaging electronic components during assembly. And manufacturers have prized lead’s well-known reliability, which is especially important in aerospace and defense because of the enormous cost to replace a faulty part. A satellite in space cannot simply be repaired, and aircraft and other defense technologies are expected to function without glitches for decades.

But over the last 15 years, commercial electronics manufacturers have switched to lead-free technology, owing to lead’s harmful human health effects and environmental concerns. While the commercial industry has made the switch, the U.S. defense community has resisted the change due to its reliability concerns.

While the reliability of defense systems remains a paramount concern, it need not necessarily come at the expense of military readiness or technological superiority. Unfortunately, this binary thinking has prevented the Pentagon from meaningfully investing in lead-free research. Over time, this has caused the defense electronics industry to become disconnected from advancements in commercial electronics in a way that undermines the reliability that leaded technology was supposed to protect.

In the 1950s and ’60s, Defense Department projects fueled technological advancement. But today, the defense market is dwarfed by the commercial market and is now 15-20 years behind the commercial market in terms of technological performance as well as supply chain continuity, security and resiliency. That means that most electronics companies design and build for consumers, and the defense market is ancillary.

As electronics increase in sophistication and shrink in size, it is becoming increasingly difficult to rework these commercial electronics into leaded versions for use in defense systems. That leaves the military operating with less advanced systems — held onto at the mercy of the larger, lead-free commercial market or — at best — a potentially compromised lead-free component retrofitted into a lead-based environment.

Introducing lead into a lead-free manufacturing process complicates supply chains for many defense systems, undermining their ability to swiftly and reliably produce the equipment needed. Particularly at a time when supply chain risks are coming into focus for companies and countries, the extra step in manufacturing becomes a vulnerability and undermines the quality and innovation of new defense technology.

The reliance on lead also comes at a steep cost. The Pb-Free Electronics Risk Management Council — an industry group dedicated to lead-free risk mitigation — estimates that the rework necessary to convert commercial electronics into leaded electronic assemblies is costing the Department of Defense more than $100 million a year, and that doesn’t take into account the rising cost of lead as supplies shrink, nor all the related costs, including life-cycle management of lead-based assemblies.

The remedy is straightforward: more funding and innovation. Congress needs to make a greater investment in research and development to help close the gaps between defense electronics and the lead-free gains made by the commercial industry as well as the supply chains that support them. And there is a precedent for this type of funding: From investing in railroads in the 1800s to coronavirus vaccines in 2020, government has often provided the seed funding to confront national challenges in which the benefits will be shared by all.

Members of the House and Senate Appropriations committees are currently deciding whether to make a significant investment in lead-free electronics research in 2021. Should Congress falter, the DoD will soon find itself falling further behind in the adoption of advanced technologies such as microelectronics, artificial intelligence, 5G and the Internet of Things, all while paying more for weaker capabilities. This will compound existing vulnerabilities and create new ones. Like the proverbial frog in a pot of boiling water, this problem will sneak up on us until we realize we are cooked.

General Motors ditched its plans to acquire an equity stake in troubled electric truck startup Nikola. GM will also no longer help engineer and manufacture Nikola’s battery-electric and hydrogen fuel cell vehicles, including the Badger pickup truck.

It won’t come as a total shock to anyone who’s been following Nikola over the last several months. Less than a week after GM announced its plan to acquire an 11 percent stake in the buzzy company, short-selling firm Hindenburg Research published a bombshell report accusing Nikola of fraud in showcasing its electric vehicle technology. Nikola founder Trevor Milton stepped down as board chairman on September 21st in the wake of the report.

On Monday, the two companies announced a much diminished agreement that retains the fuel cell partnership. Under the terms of the memorandum of understanding, Nikola and GM will “work together to integrate GM’s Hydrotec fuel-cell technology into Nikola’s Class 7 and Class 8 zero-emission semi-trucks for the medium- and long-haul trucking sectors,” Nikola announced.

“The previous agreements, which included a stock component, were all terminated,” a GM spokesperson said in an email.

Essentially, GM is shifting from partner to customer, which reflects the auto giant’s diminished faith in Nikola, said iSeeCars executive analyst Karl Brauer. “Nikola reflects the somewhat frantic demand for electric and hybrid vehicle evolution, and the potential pitfalls when a company overstates its claims for how rapidly that evolution is occurring,” Brauer said.

The future of Nikola’s Badger pickup truck appears in doubt. The company first announced the fuel cell truck in February 2020, claiming it would have 600 miles of range, would generate over 900 horsepower, and go from 0 to 60 miles per hour in 2.9 seconds.

But the development of the truck was wholly “dependent” on a partnership with an automaker. Without that partnership, the Badger is officially in limbo. Nikola said it would refund “all previously submitted order deposits for the Nikola Badger.”

Nikola, which went public through a “reverse merger” with a special acquisition company earlier this year, saw its share price plummet as much as 26.5 percent on the news of the deal with GM. Founded in 2015, Nikola staked out a unique position in the buzzy EV space by claiming it would make zero-emission big rigs using hydrogen fuel cell technology.

While a number of companies like Tesla, Daimler, Freightliner, and other established players and startups are working on all-electric trucks, Nikola was one of the few pursuing hydrogen-powered big rigs. Hydrogen-powered vehicles have never really caught on in the passenger car space because there’s been very little investment in the necessary infrastructure. Only a handful of hydrogen filling stations exist to date.

Meanwhile, GM is in the midst of a multibillion-dollar pivot to an “all-electric future” that includes spending $2.2 billion to retrofit its first “fully-dedicated” electric vehicle assembly plant and the development of its modular battery-electric platform, Ultium. Last week, the automaker said it was upping its investment in electrification to $27 billion through 2025.

NEW YORK (AP) — General Motors will not take an initial stake in the electric vehicle company Nikola, which announced Monday that it would scuttle on of its marquee vehicles, an electric and hydrogen-powered pickup that was to be called the Badger.

Shares of Nikola plunged 21% at the opening bell.

Nikola on Monday released updated terms between the companies for a supply agreement related to GM’s fuel-cell system , replacing an agreement signed in September. That deal would have given GM an 11% stake in Nikola.

That agreement would have allowed Nikola to use GM’s new battery electric truck underpinnings for the Badger, and also GM’s fuel cell and battery technology. GM had agreed to supply batteries for other Nikola vehicles including heavy trucks.

The deal appeared to be in jeopardy in late September GM cast doubt on whether a $2 billion partnership would close as scheduled, saying that the deal has not closed and discussions with Nikola are continuing.

That announcement came just days after Nikola founder and Chairman Trevor Milton resigned after a Hindenburg Research, a company that’s betting Nikola stock will drop, accused Nikola of Fraud. Nikola denies the allegations and called them misleading.

Hindenburg said Nikola’s success was an “intricate fraud,” including a video showing a truck rolling downhill to give the impression it was cruising on a highway, and stenciling the words “hydrogen electric” on the side of a vehicle that was actually powered by natural gas.

The Securities and Exchange Commission and the Justice Department are reportedly investigating. GM has said it did proper due diligence before entering the partnership.

Nikola said Monday that its work on heavy trucks will continue.

“Heavy trucks remain our core business and we are 100% focused on hitting our development milestones to bring clean hydrogen and battery-electric commercial trucks to market,” said CEO Mark Russell.

Nikola is based in Phoenix.

Monday’s service for Fakhrizadeh took place at an outdoor portion of Iran’s Defense Ministry in Tehran, with officials including Revolutionary Guard chief Gen. Hossein Salami, the Guard’s Quds Force leader Gen. Esmail Ghaani, civilian nuclear program chief Ali Akbar Sahei and Intelligence Minister Mamoud Alavi. They sat apart from each other and wore masks due to the coronavirus pandemic as reciters melodically read portions of the Quran and religious texts.

Defense Minister Gen. Amir Hatami gave a speech after kissing Fakhrizadeh’s casket and putting his forehead against it. He said Fakhrizadeh’s killing would make Iranians “more united, more determined.”

“For the continuation of your path, we will continue with more speed and more power,” Hatami said in comments aired live by state television.

Hatami also criticized countries that hadn’t condemned Fakhrizadeh’s killing, warning: “This will catch up with you someday.” Overnight, the United Arab Emirates, which just reached a normalization deal with Israel, issued a statement condemning “the heinous assassination.” The UAE, home to Abu Dhabi and Dubai, warned it “could further fuel conflict in the region.”

Last year, the UAE found itself in the middle of an escalating series of incidents between Iran and the U.S. Though long suspicious of Iran’s nuclear program, the Emirates has said it wants to de-escalate the crisis. The UAE just started passenger air service to Israel and Israelis are expected to vacation in the country over Hanukkah in the coming days.

Hatami also called the nuclear arsenal of the U.S. — and the stockpile of atomic bombs Israel long has been suspected of holding — “the most dangerous threat against humanity.”

Volkswagen Is Working on a $24K Electric Car - PCMag.com

The future of transport looks set to be electric, but before we all embrace electric vehicles, they need to become much more affordable. Volkswagen is going to help get us there with a new, small electric car which has apparently just had its development ramped up.

As Reuters reports, the small car project is known as "Small BEV," with BEV standing for Battery Electric Vehicle. The goal is to produce a purely electric vehicle with a price in the range of $24,000-$30,000 and a size similar to that of the well-known Polo model. What isn't known is what kind of range Volkswagen is aiming for, but the low price is sure to attract a lot of interest.

Although we've been hearing about this cheap electric vehicle from Volkswagen since 2018, the development of Small BEV has apparently been moved forward because the company believes much tougher climate regulations are in the pipeline. If so, it means gas-guzzling vehicles will either be forced to hit much tougher emissions targets or be hit with new taxes, directed at either the manufacturers producing them or the consumers buying them (or both).

Right now, Tesla's smallest car, the Model 3, costs around $33,000 for the base model. The Nissan Leaf is around $32,000, and Volkswagen's own ID.3 starts at $42,000. All three vehicles demonstrate how challenging hitting a $24,000 price tag will be, with the likely compromise in the short term being range.

Electronic monitoring grants will benefit Alaska fisheries - The cordova Times

Two Alaska fisheries are among the beneficiaries of new national grants to modernize data management systems to ensure sustainable fisheries in the Gulf of Alaska, Bering Sea and Aleutian Islands through electronic monitoring.

One grant for $185,104 went to the Alaska Longline Fishermen’s Association which matched those funds with another $213,500, for a total of $398,604.

The other, for $908,862, went to United Catcher Boats in Seattle, which added $1,385,854, for a total of $2,294,716.

ALFA will use its share to develop lower cost electronic monitoring hardware, test automated real-time feedback to vessels on image quality and support stakeholder engagement in fisheries management forums relevant to electronic monitoring in the Alaska fixed gear fishery. The project will also explore ways to improve image quality and cost effectiveness of electronic monitoring through the development of new electronic monitoring systems and deployment methods, ALFA officials said,

UBC will focus on scaling up existing efforts to evaluate the feasibility and cost efficiency of using electronic monitoring systems on Bering Sea and Gulf of Alaska Pollock pelagic trawl catcher vessels to monitor compliance with retention regulations. The project will demonstrate the feasibility of electronic monitoring at scale and improve data quality, timeliness and cost-efficiency for salmon bycatch accounting and detecting and quantifying groundfish discards, according to UBC.

On a worldwide scale millions of pounds of fish worth billions of dollars are caught each year by thousands of commercial fishing boats. To ensure that fishing on this scale is sustainable, regional fisheries management organizations must be able to accurately track the catch, the PEW Charitable Trusts noted in a September 2019 report on electronic monitoring as a key tool for global fisheries. 

Monitoring fisheries operating far from shore can be challenging, so many regional fisheries management organizations have mandated that observers be onboard many vessels at sea to gather more information on catch, bycatch, fishing effort and compliance with regulations. Electronic monitoring systems had already been installed on a variety of vessels and have proven to generate high quality, cost effective monitoring data, the PEW report noted.

Still fisheries faced with mandates to increase coverage also face challenges of addition cost of monitoring equipment and space required for another person onboard the vessel, but overall EM systems have shown themselves to be considerably cheaper than placing observers on board, the report said.

The total of $4.1 million in grants awarded this year in support of electronic monitoring projects in 14 states and Puerto Rico will also generate $4.8 million in matching funds for a total conservation impact of $8.9 million.

The grants were awarded through the Electronic Monitoring and Reporting Grant Program, a partnership of NFWF, NOAA, the Walton Family Foundation and the Kingfisher Foundation.

The Only Electric Car Stock Worth Buying - The Motley Fool

Electric car stocks may very well be in a bubble. Tesla (NASDAQ:TSLA) stock has rocketed around 600% this year, pushing up the market capitalization of the Elon Musk-led automaker to roughly $540 billion. That's over 20 times annual sales and nearly 35 times book value. Tesla is now profitable, but largely due to the sale of regulatory credits. Tesla's price-to-earnings ratio is so high it's not even worth mentioning.

Yes, Tesla does more than make cars. And yes, there's a cult following and intense loyalty surrounding the brand. But ultimately, Tesla is much more an automaker than a tech company. It's valued like Google when it should be valued more like Ford.

There are other electric car stocks that have defied reality this year as well. Chinese electric car maker NIO is now worth over $70 billion despite delivering just over 12,000 cars in the third quarter. Nikola is still worth over $10 billion despite accusations of fraud and having no revenue at all. Shares of electric truck company Workhorse have shot up nearly 800% this year and are now worth over $3 billion, despite barely any revenue and a production target of just 1,800 vehicles for 2021.

If this isn't a bubble, then I don't know what is.

If you buy any of these EV stocks, there's a very good chance you're going to lose your shirt. Now, I could be wrong. Maybe, somehow, making cars electric will fundamentally change the economics of the capital intensive, cyclical, brutally competitive automobile industry. But I seriously doubt it.

This is the EV stock to buy

If you want to invest in electric cars but don't want to be exposed to what looks like a massive bubble, there's still a very good option available: General Motors (NYSE:GM). GM is pouring $27 billion over the next five years into electric and autonomous vehicles, and there's just no reason to believe the storied automaker will be run over by its younger rivals.

GM's plan involves launching 30 electric vehicles globally by 2025, with over two-thirds of those vehicles set to be available in North America. All of GM's major brands -- Cadillac, GMC, Chevrolet, and Buick -- will have EV models available, and GM is promising options across the full spectrum of price points.

This plan hinges on GM's Ultium battery technology. The company has already achieved a nearly 40% reduction in battery pack costs compared to those in its Chevrolet Bolt EV, which launched a few years ago and found some success. GM expects its next-generation Ultium batteries, expected to be available by mid-decade, to double the energy density of today's batteries at half the cost.

On top of pouring resources into electric vehicles, GM is already ahead of the game when it comes to driver assistance systems. In October, Consumer Reports concluded that GM's Super Cruise system was at the top of the heap in its test of 17 systems. While Tesla's much-hyped Autopilot scored highly for capabilities and performance, Tesla lost badly to GM in other areas, including keeping the driver engaged, making it clear when it's safe to use, and dealing with an unresponsive driver.

Another thing to remember: GM is profitable now, while other EV companies may never stop burning cash. GM produced over $4 billion of net income in the third quarter on $35.5 billion of revenue. GM stock has tripled since bottoming out in the pandemic-driven sell-off earlier this year, and shares still trade for less than 10 times the average analyst estimate for full-year earnings, and less than 8 times the estimate for next year's earnings.

If you want to gamble, buy one of the bubble EV stocks that have gotten so much attention this year. If you want to invest, buy GM stock.
